Troscriptions Authorized Distributor Policy

Effective Date: November 25, 2025

This Troscriptions Authorized Distributor Policy (“Policy”) applies to all Authorized Distributors and retailers of Troscriptions products. By purchasing products from Troscriptions for retail sale, you (“Authorized Distributor”) agree to adhere to the following terms. This Policy supplements your Authorized Distributor Agreement.

1. Permissible Customers and Locations

  • End Consumers: Authorized Distributors may sell products solely to individual consumers for their personal use.
  • Physical Retail Only: Sales are permitted solely through physical retail locations. Sales through any online, digital, or e-commerce channels are prohibited without prior written consent.
  • No Resale: You shall not sell or transfer products to any entity or individual that you reasonably believe intends to resell them.

2. Practitioner-Only Products

Certain Troscriptions products are designated as "Practitioner-Only".

  • Verification: To sell these products, Authorized Distributors must maintain at least one "Verified Practitioner" (e.g., M.D., D.O., N.P., D.C., N.D.) who is actively employed or engaged by the Distributor.
  • Supervision: Sales of these products must occur under the direct supervision of the Verified Practitioner.
  • Lapse in Status: If you no longer have a Verified Practitioner on staff, you must immediately notify Troscriptions and cease sales of Practitioner-Only Products.

3. Online Sales Restrictions

  • No Online Marketplaces: Authorized Distributors shall not sell, advertise, or promote products on third-party marketplaces (e.g., Amazon, eBay, Walmart.com) or their own websites without Troscriptions' express written consent.
  • No Online Marketing: You may not engage in online advertising, including paid search, social media advertising, or email marketing, without prior written approval.

4. Pricing Standards

  • MSRP: Authorized Distributors shall not sell goods online below Troscriptions’ then-current suggested retail price (MSRP).
  • Discount Limits: In-store discounts may not exceed 10% of the MSRP.

5. Product Quality and Recalls

  • Inspection: Goods must be inspected within five (5) days of receipt. Non-conforming goods must be reported immediately.
  • Product Recalls: In the event of a recall, Authorized Distributors must immediately cease distribution of affected goods, cooperate with Troscriptions, and assist in retrieving products from customers.

6. Intellectual Property

  • Usage: You are granted a limited license to use Troscriptions’ trademarks solely for promoting and selling the goods through authorized channels.
  • Restrictions: You may not:
    • Use Troscriptions’ trademarks as part of a domain name or social media handle.
    • Bid on Troscriptions’ trademarks or trade names as keywords for search engine marketing.
    • Modify product packaging or remove proprietary notices.

7. Termination

Troscriptions may terminate your Authorized Distributor status with 30 days' notice, or immediately if your actions damage Troscriptions’ reputation or if you breach this Policy. Upon termination, you must cease all sales and return any confidential information or materials.
